1. Acceptance of Terms

Welcome to The Green Finder ("Platform," "we," "us," or "our"). By accessing or using our web and mobile applications, you ("User," "you") agree to be legally bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, please do not use our services.

2. Eligibility & Access

2.1 Age and Licensing

You must be at least 21 years old to use this Platform. Additionally, access is restricted to individuals or entities holding a valid, active commercial cannabis license from the California Department of Cannabis Control (DCC).

2.2 Verification

All users undergo a verification process. We cross-reference provided DCC license numbers with state databases to confirm active status. We maintain the right to suspend accounts if a license is found to be expired, suspended, or revoked.

2.3 Location Requirements

To comply with regulatory and app store guidelines, users of our mobile application must be physically present within the State of California while using the service.

3. Nature of the Platform

3.1 B2B Networking

The Green Finder is designed as a communication hub where verified operators can discuss market trends, share product availability, and establish professional relationships.

3.2 No Sales Facilitation

We are strictly an informational directory. The Green Finder is not a broker, marketplace, or intermediary. You may not execute sales or process payments through our systems. All commercial transactions must take place entirely off-platform in accordance with state and local laws.

4. Mobile App Policies

To comply with Apple App Store Guidelines and other mobile platform rules:

• The Green Finder strictly prohibits the sale of marijuana or related products through the app.
• No financial transactions or payments are handled within the application.
• The platform is heavily restricted, requiring both 21+ age verification and proof of active state licensure.

5. Acceptable Use & Conduct

You agree to comply with all applicable laws. While using the Platform, you must not:

• Attempt to conduct actual sales or process payments.
• Provide false or misleading information about your business or products.
• Post content that violates intellectual property rights, contains hate speech, or encourages illegal acts.
• Use scraping tools or attempt to circumvent our security and verification systems.
• Make unverified health or medical claims about any products.

All posts and listings must be for informational purposes only and accurately reflect compliant California operations. We do not evaluate or endorse any product, and no content on the Platform should be construed as medical, legal, or financial advice.

6. Privacy & Messaging

Our messaging tools are provided for professional networking. While we do not actively monitor the contents of your private messages, we collect metadata (such as connection history and timestamps) to ensure the platform operates smoothly. We expect all users to communicate professionally.

7. User Content & Licensing

You retain ownership of any content you upload (including profile details, images, and descriptions). However, by posting it, you grant The Green Finder a non-exclusive, royalty-free license to display and distribute that content on the Platform. We reserve the right to moderate, remove content, or suspend accounts that violate these Terms.

8. Account Termination

We reserve the right to suspend, revoke, or terminate your profile and access to the Platform at any time, for any reason, and without prior notice. You can request the deletion of your account at any time through your settings. Following a request, your account will enter a 30-day grace period. Afterward, your personal data and listings will be permanently removed from our active systems, except for anonymized analytics or records we are legally required to keep.

9. Disclaimer of Warranties & Limitation of Liability

THE GREEN FINDER IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE GREEN FINDER, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, ANY UNAUTHORIZED ACCESS TO YOUR DATA, OR ANY OFF-PLATFORM BUSINESS DEALINGS, TRANSACTIONS, OR DISPUTES BETWEEN USERS. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE PLATFORM IS TO STOP USING IT.

10. Indemnification

You agree to defend, indemnify, and hold harmless The Green Finder, its officers, directors, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees), and regulatory fines or penalties arising from or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any local, state, or federal laws or regulations (including cannabis compliance laws); (d) any transactions, interactions, or disputes you have with other users; or (e) your violation of any rights of any third party.

11. Federal Law Disclaimer & Assumption of Risk

You acknowledge and understand that marijuana remains a Schedule I controlled substance under the federal Controlled Substances Act, and that the cultivation, distribution, and possession of cannabis is federally illegal. The Green Finder operates under the assumption that users are strictly complying with the laws of the State of California. You assume all direct and indirect risks associated with operating in the cannabis industry. The Green Finder assumes no responsibility for any federal, state, or local legal actions, raids, seizures, or prosecutions brought against you or your business.

12. No Agency or Partnership

No agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by these Terms. The Green Finder acts solely as a passive informational directory and is not a party to any agreement or transaction between you and any other user.

13. Dispute Resolution & Class Action Waiver

Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding arbitration in California, rather than in court.

Class Action Waiver: YOU AND THE GREEN FINDER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
